Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the StellaERP accounting and enterprise resource planning service, including any related software, applications, and websites (collectively, the “Service”), provided by StellaERP (“StellaERP,” “we,” “us,” or “our”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Eligibility & Accounts
You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for the accuracy of the information you provide, for maintaining the confidentiality of your account credentials, and for all activity that occurs under your account. Notify us promptly of any unauthorized use.
2. Description of the Service
StellaERP provides cloud-based accounting, bookkeeping, reporting, and related business-management tools. We may add, modify, or discontinue features from time to time. We strive for high availability but do not guarantee that the Service will be uninterrupted or error-free.
3. Your Data & Responsibilities
You retain all ownership of the data you submit to the Service (“Your Data”). You grant us a limited license to host, process, and display Your Data solely to operate and provide the Service to you. You are responsible for the accuracy, quality, and legality of Your Data and for ensuring you have the rights to provide it. We handle Your Data as described in our Privacy Policy.
4. Bank Connections & Third-Party Services
The Service may allow you to connect external financial accounts through Plaid Inc. (“Plaid”) and may interoperate with other third-party services. Your use of Plaid is also subject to Plaid’s end-user privacy policy and applicable terms. We are not responsible for the acts, omissions, availability, or content of third-party services, and your use of them is at your own discretion and risk.
5. Acceptable Use
You agree not to:
- Use the Service in violation of any applicable law or regulation;
- Upload malicious code or attempt to disrupt or compromise the Service;
- Access the Service or another tenant’s data without authorization;
- Reverse engineer, copy, or resell the Service except as permitted by law; or
- Use the Service to store or transmit content that infringes the rights of others.
6. Not Financial, Tax, or Legal Advice
StellaERP is a software tool. It does not provide accounting, financial, tax, investment, or legal advice, and the outputs of the Service (including reports and calculations) are for your informational use. You are responsible for reviewing your records and for consulting a qualified professional regarding your specific circumstances and compliance obligations.
7. Fees
If the Service or any feature is offered for a fee, the applicable pricing and payment terms will be presented to you before purchase. Unless stated otherwise, fees are non-refundable except as required by law. We may change fees on a going-forward basis with reasonable notice.
8. Intellectual Property
The Service, including its software, design, and content (excluding Your Data), is owned by StellaERP and its licensors and is protected by intellectual property laws. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service; no other rights are granted.
9. Termination
You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms, if required by law, or to protect the Service or its users. Upon termination, your right to use the Service ceases; certain provisions that by their nature should survive (such as ownership, disclaimers, and limitations of liability) will survive.
10. Disclaimers
The Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be error-free, secure, or uninterrupted, or that data will be accurate or complete.
11. Limitation of Liability
To the maximum extent permitted by law, StellaERP and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenues, data, or goodwill, arising out of or related to your use of (or inability to use) the Service. Our total liability for any claim relating to the Service will not exceed the amount you paid us for the Service in the twelve (12) months preceding the claim, or, if you paid nothing, one hundred U.S. dollars ($100).
12. Indemnification
You agree to indemnify and hold harmless StellaERP and its affiliates from any claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising from your use of the Service, Your Data, or your violation of these Terms or applicable law.
13. Governing Law
These Terms are governed by the laws of the State of Arizona, United States, without regard to its conflict-of-laws rules. You agree to the exclusive jurisdiction of the courts located in that jurisdiction for any dispute not subject to arbitration or small-claims resolution, to the extent permitted by law.
14. Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will update the “Last updated” date above and, where appropriate, provide additional notice. Your continued use of the Service after an update means you accept the revised Terms.
